1. Acceptance of Terms
These Terms & Conditions ("Terms") govern your access to and use of qodrixtech.com (the "Website") and the information it provides, operated by QodrixTech , based in Karachi, Pakistan. By accessing the Website you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Website.
2. Our Services
QodrixTech provides web development, UI/UX design, e-commerce development, mobile app development, SEO and performance optimisation, cloud and hosting, custom software development, website maintenance, and AI solutions and automation. The Website describes these services for information only and does not constitute a binding offer.
Specific projects are governed by a separate written proposal, statement of work or services agreement ("Project Agreement"). If a Project Agreement conflicts with these Terms, the Project Agreement prevails for that project.
3. Use of the Website
You agree to use the Website only for lawful purposes. You must not:
- Attempt to gain unauthorised access to the Website, its servers or any connected systems.
- Introduce malware, or interfere with or disrupt the Website's operation or security.
- Scrape, copy or harvest content or data by automated means without our written permission.
- Submit false, misleading or unlawful information through our forms.
- Use the Website in any way that infringes the rights of others or violates applicable law.
4. Proposals, Fees & Payment
- Quotes and estimates are based on the information available when provided and are valid for the period stated in the proposal.
- Fees, milestones, payment schedules and accepted payment methods are set out in the Project Agreement.
- Unless agreed otherwise, invoices are payable within the period stated on the invoice. We may pause work on overdue accounts.
- Requests that fall outside the agreed scope are handled as change requests and may affect cost and timeline.
- Third-party costs, such as hosting, domains, licences, plugins and API usage, are the client's responsibility unless expressly included.
5. Client Responsibilities
Delivery depends on timely cooperation. Clients agree to provide accurate requirements, content, access and feedback within reasonable timeframes, and to confirm they own or are licensed to use all materials they supply. Delays caused by late input may affect the delivery schedule.
6. Intellectual Property
The Website, including its text, design, graphics, logos, code and other content, is owned by or licensed to QodrixTech and is protected by intellectual property laws. You may not reproduce, distribute or create derivative works from it without our prior written consent.
Ownership of deliverables created for a client is transferred as set out in the Project Agreement, typically on receipt of full payment. We retain ownership of our pre-existing tools, libraries, frameworks, templates and know-how, and grant the client a licence to use them as part of the delivered work. Third-party and open-source components remain subject to their own licences.
Unless a client objects in writing, we may reference non-confidential project work in our portfolio.
7. Confidentiality
Each party agrees to keep the other's non-public business, technical and commercial information confidential and to use it only for the purposes of the engagement. This does not apply to information that is public through no fault of the recipient, was already known to the recipient, or must be disclosed by law.
8. Warranties & Disclaimers
We perform services with reasonable skill and care. Except as stated in a Project Agreement, the Website and its content are provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose, accuracy or uninterrupted availability. We do not guarantee specific business outcomes, such as search rankings, traffic, conversions or revenue.
9. Limitation of Liability
To the maximum extent permitted by law, QodrixTech will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill, arising from your use of the Website or our services. Our total liability for any claim relating to a project is limited to the fees paid to us for that project in the three months preceding the claim, unless the Project Agreement states otherwise. Nothing in these Terms excludes liability that cannot be excluded by law.
10. Indemnification
You agree to indemnify and hold harmless QodrixTech from claims, damages and expenses, including reasonable legal fees, arising from your breach of these Terms, your misuse of the Website, or materials you provide that infringe the rights of a third party.
11. Third-Party Services & Links
The Website and our projects may rely on or link to third-party services, such as analytics, payment providers, hosting platforms and social networks. We do not control them and are not responsible for their content, availability or practices. Your use of them is subject to their own terms.
12. Termination
We may suspend or restrict access to the Website at any time if we believe these Terms have been violated. Either party may terminate a project engagement according to the Project Agreement. Provisions that by their nature should survive termination, including intellectual property, confidentiality, payment, limitation of liability and governing law, will survive.
13. Governing Law & Disputes
These Terms are governed by the laws of Pakistan. We encourage you to contact us first so that we can try to resolve any dispute informally. Disputes that cannot be resolved informally are subject to the exclusive jurisdiction of the courts of Karachi, Pakistan, unless a Project Agreement provides otherwise.
14. Changes to These Terms
We may revise these Terms from time to time. Updated Terms take effect when posted on this page. Continued use of the Website after changes means you accept the updated Terms.
